Electronic Communications Consent and Disclosure

Please read this E-SIGN Disclosure (“Disclosure”) carefully. It explains your rights and our obligations when we communicate with you electronically, and it describes what you are agreeing to when you consent to electronic communications from ScanPay.

This Disclosure is required by the federal Electronic Signatures in Global and National Commerce Act (the “E-SIGN Act”) and applies to all electronic communications between you and StorePay, Inc. d/b/a ScanPay (“ScanPay”, “we”, or “us”) in connection with your use of the ScanPay Platform.

1. Your Consent

By submitting your onboarding application and accepting ScanPay’s Terms of Platform, you consent to:

  • receive all Communications (as defined below) from ScanPay electronically, in lieu of paper documents; and
  • the use of electronic signatures in connection with your ScanPay account and any agreements or documents presented through the Platform.

This consent applies to all Communications related to your ScanPay account from the date of your acceptance and continues for as long as you maintain an account with ScanPay and for any period thereafter during which ScanPay may be required to communicate with you regarding outstanding obligations or regulatory requirements.

If you do not consent to this Disclosure or if you withdraw your consent, you may be unable to use the Platform or certain features thereof.

2. Scope — Communications Covered

This Disclosure applies to all electronic communications, notices, disclosures, agreements, statements, and other documents that ScanPay provides to you in connection with your ScanPay account and use of the Platform (collectively, “Communications”). Examples of Communications include:

  • These Terms of Platform, this E-SIGN Disclosure, Privacy Policy, and any other agreements or policies governing your use of the Platform;
  • any Additional Terms or supplemental agreements, including any Wallet Services Addendum or other product-specific terms presented to you through the Platform;
  • account registration and onboarding documents, including KYC/KYB disclosures and identity verification notices;
  • payout confirmations, transaction receipts, and account activity statements;
  • Transaction Fee schedules and fee change notifications, including updates to fees displayed in your Payment Methods settings;
  • Chargeback notices, dispute communications, and fund hold or freeze notifications;
  • any notice required by applicable state Money Transmitter License regulations or other financial services laws, including notices regarding changes in service availability by state;
  • communications passed through to you from ScanPay’s Banking Partners or other Service Providers where ScanPay is the merchant-facing party responsible for delivering such communications;
  • account suspension, termination, or modification notices;
  • updates to these Terms, this Disclosure, or the Privacy Policy; and
  • any other notices or communications required by law or necessary to maintain your account or our business relationship.

This Disclosure applies to Communications that ScanPay provides on its own behalf and, where ScanPay serves as the delivery channel, on behalf of its Banking Partners or other Service Providers.

3. How We Deliver Communications

Unless applicable law otherwise requires, or ScanPay otherwise agrees in writing, ScanPay may provide Communications to you through any of the following methods:

  • by email to the email address registered with your ScanPay account;
  • by in-app notification or message within the ScanPay mobile application or web platform;
  • by posting on the ScanPay website at goscanpay.com or a URL provided to you;
  • by push notification to a mobile device on which you have installed the ScanPay application, where you have enabled push notifications; or
  • by such other electronic means as ScanPay may make available from time to time.

For Communications that are time-sensitive — such as fund hold notices, Chargeback notifications, or account suspension notices — ScanPay will use its best efforts to deliver Communications via email and in-app notification simultaneously. Delivery of a Communication to the email address or mobile device registered with your account constitutes effective notice to you regardless of whether you actually view or open the Communication.

It is your responsibility to maintain a current, valid email address and functioning mobile device registration with your ScanPay account. ScanPay is not responsible for your failure to receive Communications that are delivered to the contact information in your account settings.

4. Electronic Signatures

You agree that your electronic acceptance of any agreement, disclosure, or document presented through the Platform — whether by clicking “I Agree”, “Accept”, or a similar button, by checking a checkbox, or by completing an onboarding step that incorporates acceptance — constitutes your electronic signature on that document and has the same legal force and effect as your handwritten signature on a paper document.

ScanPay may also execute Communications and agreements electronically. You agree that ScanPay’s electronic execution of any Communication or agreement has the same legal effect as a physical signature or seal.

Electronically signed documents are legally binding under the federal E-SIGN Act (15 U.S.C. § 7001 et seq.) and applicable state electronic signature laws, including the Uniform Electronic Transactions Act (UETA) as adopted in applicable states.

5. Hardware and Software Requirements

To access, view, sign, and retain electronic Communications from ScanPay, you must have the following at the time you consent and throughout the period during which we communicate with you electronically:

  • an internet-connected device (such as a computer, tablet, or smartphone) capable of accessing the ScanPay web platform or mobile application;
  • a current, supported web browser (such as the current or immediately preceding version of Chrome, Safari, Firefox, Edge, or their mobile equivalents) or the current version of the ScanPay mobile application;
  • a valid, accessible email account and the ability to send and receive email;
  • for PDF documents: software capable of opening and displaying PDF files (such as Adobe Acrobat Reader, available at no charge); and
  • if you wish to retain paper or electronic copies of Communications: a printer or storage device capable of printing or saving the documents.

If you use a spam filter or other email management software that may block or re-route emails from senders not in your address book, you should add @goscanpay.com to your approved senders list to ensure receipt of Communications from ScanPay.

ScanPay will notify you through the Platform if it becomes aware of a material change in the hardware or software requirements necessary to access Communications. At that time, you may choose to withdraw your consent to electronic Communications without penalty.

6. Updating Your Contact Information

It is your responsibility to keep the contact information associated with your ScanPay account current and accurate at all times. This includes your:

  • primary email address;
  • mobile phone number (if applicable for push notifications); and
  • mailing address (for any communications we are legally required to deliver by mail).

You may update your contact information at any time through your ScanPay account settings. If you fail to update your contact information and ScanPay is unable to deliver a Communication as a result, ScanPay will not be responsible for your failure to receive that Communication, and the Communication will be deemed delivered as of the date it was sent to the contact information on file.

7. Requesting Paper Copies

You have the right to request a paper copy of any Communication that ScanPay has provided or is required to provide to you electronically. To request a paper copy, contact ScanPay at:

In your request, please specify the Communication you would like to receive in paper form and your current mailing address. ScanPay may charge a reasonable administrative fee for providing paper copies. Requesting a paper copy of a Communication does not withdraw your consent to receive Communications electronically going forward.

8. How to Withdraw Your Consent

You have the right to withdraw your consent to receive Communications electronically at any time. To withdraw your consent, contact ScanPay at support@goscanpay.com with the subject line “Withdraw E-SIGN Consent”. Your withdrawal of consent will be effective within a reasonable time after ScanPay processes your request.

Withdrawal of your consent does not affect the legal validity of any Communications already provided to you electronically, any electronic signatures you have already given, or any obligations you have incurred prior to the date of withdrawal.

If you withdraw your consent, please be aware that:

  • ScanPay may be unable to continue providing Platform services to you, as certain Communications required by law or necessary to operate your account cannot be delivered by non-electronic means;
  • ScanPay may suspend or terminate your account if electronic delivery is required for the provision of services or regulatory compliance; and
  • you remain responsible for all obligations incurred prior to the effective date of your withdrawal.

ScanPay will confirm your successful withdrawal of consent by email or, where email is no longer appropriate, by mail to your address on file.

9. Accessibility and Problems Accessing Communications

If you experience difficulty accessing, viewing, or retaining any Communication, please contact ScanPay at support@goscanpay.com. ScanPay will make reasonable efforts to assist you in resolving access issues and, where necessary, will provide the Communication in an alternative format or via an alternative delivery method.

ScanPay is committed to making its electronic Communications reasonably accessible. If you require accommodation due to a disability that affects your ability to receive electronic Communications, please contact us at support@goscanpay.com to discuss alternative arrangements.

10. Regulatory and Banking Partner Communications

In connection with ScanPay’s payment and payout services in states where ScanPay holds a Money Transmitter License (“Licensed States”), certain Communications may originate from or be required by ScanPay’s Banking Partners or applicable state financial regulators. Where ScanPay serves as the merchant-facing party, ScanPay may deliver such Communications to you electronically through the Platform or by email on behalf of or in coordination with its Banking Partners.

Your consent under this Disclosure covers Communications delivered by ScanPay in this capacity, including:

  • required disclosures regarding the custody or handling of your funds in states where ScanPay operates under an MTL license;
  • notices regarding changes in ScanPay’s license status or service availability in specific states; and
  • any regulatory communications that ScanPay is required to pass through to you as a condition of its Banking Partner relationship or MTL license obligations.

Nothing in this Section creates a direct legal relationship between you and ScanPay’s Banking Partners. All rights and obligations with respect to your account remain as between you and ScanPay under the Terms of Platform.

11. Federal and State Law

This Disclosure and your consent to electronic Communications are governed by the federal Electronic Signatures in Global and National Commerce Act (the “E-SIGN Act”), 15 U.S.C. § 7001 et seq. By consenting to this Disclosure, you acknowledge and agree that the E-SIGN Act applies to all Communications and electronic signatures arising from your use of the Platform.

To the extent applicable state law provides additional or different requirements for electronic records and signatures, ScanPay will comply with such requirements. In states where the Uniform Electronic Transactions Act (UETA) has been adopted, your electronic acceptance of Communications and agreements through the Platform is valid and enforceable to the same extent as a handwritten signature on a paper document.

Nothing in this Disclosure limits any rights you may have under applicable state law with respect to the delivery of Communications in paper form, including rights arising under state Money Transmitter License regulations.

12. Updates to This Disclosure

ScanPay reserves the right to update this Disclosure at any time. If ScanPay makes a material change to this Disclosure — including any change that expands the types of Communications covered or alters the hardware/software requirements for access — ScanPay will notify you by email and/or through the Platform before the change takes effect. At that time, you will have the opportunity to withdraw your consent to the updated Disclosure without penalty.

Your continued use of the Platform following notice of a material change to this Disclosure constitutes your acceptance of the updated Disclosure.

Non-material updates (such as corrections to contact information or clarifications that do not change your rights) will be effective upon posting at goscanpay.com/esign-disclosure without separate notice.
