ACH AUTHORIZATION AGREEMENT
1. Parties
This ACH Authorization Agreement ("Agreement") is entered into between StorePay, Inc. d/b/a ScanPay ("ScanPay," "we," "our," or "us"), a Delaware corporation holding Money Transmitter Licenses in applicable states, and you, the merchant ("Merchant," "you," or "your") who has created a ScanPay account and linked a bank account through the ScanPay platform.
2. Scope of Authorization
By linking your bank account to your ScanPay account, you hereby authorize ScanPay, and its banking partners acting as the Originating Depository Financial Institution ("ODFI"), to initiate Automated Clearing House ("ACH") credit and debit entries to and from the bank account you have designated ("Designated Account") in accordance with the rules and operating guidelines of the National Automated Clearing House Association ("NACHA").
3. Authorized Transaction Types
3.1 ACH Credit Entries
ScanPay is authorized to initiate ACH credit entries to your Designated Account for the following purposes:
- Payout of collected payment proceeds from consumers who have paid invoices through the ScanPay platform;
- Disbursement of wallet balances held in your Virtual Transaction Account ("VTA") pursuant to your payout timing and method preferences;
- Correction of errors resulting in underpayment to your Designated Account;
- Any other credits arising from your use of the ScanPay platform as described in the ScanPay Terms of Platform.
3.2 ACH Debit Entries
ScanPay is authorized to initiate ACH debit entries from your Designated Account for the following purposes:
- Recovery of funds previously credited to your Designated Account in error, including duplicate payouts or misdirected transfers;
- Chargeback recovery where a consumer has successfully disputed a payment that has already been disbursed to your Designated Account;
- Recovery of funds disbursed in connection with fraudulent transactions or transactions that violate ScanPay's Acceptable Use Policy;
- Collection of applicable platform fees, subscription charges, or other amounts owed to ScanPay under the Terms of Platform where such amounts are not netted from incoming payment proceeds;
- Compliance-related holds, reversals, or clawbacks required by applicable law, regulation, or the rules of a payment network or banking partner.
3.3 Account Verification
ScanPay may initiate one or more small ACH credit and/or debit entries (“micro-deposits”) to the Designated Account for the purpose of verifying account ownership and validity. You authorize ScanPay to initiate these micro-deposits and, where debits are used for verification, to subsequently reverse or reclaim such amounts. Micro-deposit verification does not affect your authorization for the transaction types described in Sections 3.1 and 3.2.
4. Authorization Conditions and Limitations
4.1 Debit Cap. ScanPay will not initiate ACH debit entries from your Designated Account in an aggregate amount exceeding the total value of payment proceeds processed through the ScanPay platform on your behalf plus any fees, charges, amounts owed by you to ScanPay under the Terms of Platform, or any losses, chargebacks, penalties, fines, or liabilities arising from transactions processed through the platform. This cap does not apply to debits required by applicable law, regulation, payment network rules, or court order.
4.2 Account Accuracy. You represent and warrant that (i) the Designated Account is a valid, active bank account for which you are an authorized signer, (ii) you are authorized to grant this authorization with respect to the Designated Account, and (iii) the routing number and account number you have provided are accurate and current. You agree to promptly update your banking information through the ScanPay platform if the Designated Account changes or is closed. You further authorize ScanPay to debit any linked bank account associated with your ScanPay account for amounts owed under this Agreement or the Terms of Platform.
5. Duration and Revocation
5.1 Term. This authorization is effective upon your completion of the bank account linking process within the ScanPay platform and shall remain in full force and effect until the later of: (i) the date you revoke this authorization in accordance with Section 5.2 below; or (ii) one hundred eighty (180) calendar days following the termination or closure of your ScanPay account.
5.2 Revocation. You may revoke this authorization at any time by (i) removing your Designated Account from the ScanPay platform through your account settings, or (ii) submitting a written revocation request to ScanPay at support@goscanpay.com. Revocation will take effect within three (3) business days of ScanPay's receipt of a valid revocation notice, provided that any ACH entries initiated prior to receipt of revocation shall be completed. Revocation of this authorization does not relieve you of any payment obligations owed to ScanPay.
5.3 Post-Closure Authorization. The 180-day post-closure authorization period is required to permit ScanPay to complete any pending transactions, process chargebacks or reversals received after account closure, and recover any funds owed to ScanPay that arise from activity occurring prior to account closure.
6. Insufficient Funds and Returned Entries
In the event that an ACH debit entry initiated by ScanPay is returned by your financial institution due to insufficient funds, closed account, unauthorized return, or any other reason, you authorize ScanPay to re-initiate the debit entry in accordance with NACHA rules. ScanPay reserves the right to assess a returned item fee as specified in your fee schedule for each returned ACH entry.
7. NACHA Compliance
All ACH transactions initiated under this Agreement shall comply with the NACHA Operating Rules and Guidelines, as amended from time to time. ScanPay operates as an Originator of ACH entries through its banking partner, which serves as the Originating Depository Financial Institution ("ODFI"). You acknowledge that ACH transactions are subject to the rules of NACHA, applicable federal and state law, and the policies of your financial institution.
8. Suspension of ACH Activity
ScanPay reserves the right to suspend, delay, or block any ACH credit or debit activity under this Agreement, without prior notice, if ScanPay has reason to believe that: (i) fraudulent activity has occurred or is suspected with respect to your ScanPay account or Designated Account; (ii) your account has been compromised or accessed without authorization; (iii) a compliance, regulatory, or legal obligation requires ScanPay to take such action; or (iv) your account activity poses a risk to ScanPay, its banking partners, or other merchants on the platform. ScanPay will notify you as promptly as practicable following any such suspension, subject to applicable law and the terms of any investigation.
9. Indemnification
Merchant agrees to indemnify, defend, and hold harmless ScanPay, its banking partners, officers, directors, employees, and agents from and against any and all losses, claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) unauthorized use of Merchant’s ScanPay account or Designated Account; (ii) Merchant’s breach of any representation, warranty, or obligation under this Agreement; (iii) any inaccuracy in the banking information provided by Merchant; or (iv) any fraudulent, deceptive, or unlawful activity conducted through Merchant’s account.
10. Dispute Resolution
If you believe an ACH entry initiated by ScanPay was made in error or without authorization, you must notify ScanPay in writing at support@goscanpay.com within sixty (60) calendar days of the date the entry settled to your Designated Account. ScanPay will investigate your claim and respond within ten (10) business days. Your right to dispute an ACH entry does not waive ScanPay's right to pursue collection of amounts legitimately owed.
You also have the right to contact your financial institution to report an unauthorized ACH debit in accordance with your financial institution’s error resolution procedures and applicable law, where applicable under Regulation E or other applicable law.
11. Modifications
ScanPay may modify this Agreement by posting a revised version at goscanpay.com/ach-authorization. Material changes will be communicated to you via email to your registered address at least thirty (30) days prior to the effective date of the change. Your continued use of the ScanPay platform and maintenance of a linked bank account following the effective date of any modification constitutes your acceptance of the modified Agreement. If you do not agree to the modified terms, you must revoke your authorization pursuant to Section 5.2 prior to the effective date.
12. Entire Agreement
This Agreement constitutes the complete ACH authorization between you and ScanPay with respect to the subject matter hereof and is incorporated by reference into the ScanPay Terms of Platform. In the event of a conflict between this Agreement and the Terms of Platform, the Terms of Platform shall control.
